TraxxSkills Terms of Service

1. Acceptance of These Terms
These Terms of Service (the "Terms") are a binding agreement between you and TraxxSkills, Inc. ("TraxxSkills," "we," "us," or "our"), a Delaware corporation, governing your use of the TraxxSkills™ platform, including our mobile and web applications, our learning curriculum, related in-person program events, and associated websites and services (collectively, the "Platform"). By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
2. Eligibility
To use the Platform you must be (a) at least 18 years of age, (b) an enrolled student at an institution participating in a TraxxSkills program, or otherwise authorized by TraxxSkills in writing, and able to form a binding contract. You must answer the eligibility screening truthfully. If you become ineligible (for example, you withdraw from your institution), we may suspend or close your account.
3. Research Consent Takes Priority
During research programs, your participation is also governed by an IRB-approved informed consent form that you sign. If these Terms or the TraxxSkills Privacy Policy say something different from your consent form, the consent form takes priority for all matters relating to research participation, research data collection, withdrawal, and research data retention. These Terms and the Privacy Policy govern everything else about your use of the Platform.
Nothing in these Terms reduces any right you have under your consent form, including your right to withdraw from research at any time without penalty. Withdrawing from research is not a breach of these Terms.
4. Accounts and Security
You must provide accurate information when creating your account and keep it current. You are responsible for maintaining the confidentiality of your credentials and for activity under your account. Notify us promptly at support@traxxskills.com of any unauthorized use. Accounts are personal: you may not share, transfer, or sell your account, and you may not create an account on behalf of another person.
5. License and Acceptable Use
5.1 License to you
Subject to these Terms, TraxxSkills grants you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your own educational and personal development purposes during your authorized participation.
5.2 Prohibited conduct
You agree that you will not:

Use the Platform for any unlawful purpose or in violation of your institution's codes of conduct

Misrepresent your identity or eligibility, complete activities on behalf of another user, or allow another person to complete activities on your behalf

Manipulate, automate, or falsify Platform activity, including scripted interactions, bots, or other means of distorting behavioral signals, assessments, attendance confirmations, or progress records

Probe, scan, or test the vulnerability of the Platform, circumvent authentication or access controls, or access data not intended for you, including other users' data

Reverse engineer, decompile, or disassemble the Platform, or attempt to derive the algorithms, models, signal definitions, or scoring methodology underlying the Behavioral Persistence Index™ (BPI™), except to the extent such restriction is prohibited by law

Copy, scrape, harvest, or extract Platform content or data; use the Platform or its outputs to develop a competing product or to train a machine learning model; or sublicense, sell, rent, or otherwise commercialize access to the Platform or its content

Upload malicious code, interfere with the Platform's operation, or impose an unreasonable load on our infrastructure

Harass, threaten, or harm other users, program staff, or event participants, whether in-app or at in-person program events
We may investigate suspected violations and may suspend or terminate accounts involved in them. Where a violation implicates research integrity, we may notify the research team to the extent permitted by the Privacy Policy and your consent form.
6. Research Participation and Institutional Alerts
During research programs, the Platform passively collects behavioral signals and administers assessments as described in your consent form and the TraxxSkills Privacy Policy. You agree to interact with the Platform genuinely and not to deliberately distort research data. Your research rights, including withdrawal options and what happens to your data upon withdrawal or account deletion, are governed by your consent form and summarized in the Privacy Policy.
Outside of research programs, the Platform also generates automatic alerts attached to your name when behavioral signals indicate you may benefit from support, and routes those alerts to your institution's designated advising or retention team. The Platform does not share your full BPI score, your underlying behavioral signal data, or your assessment responses with your institution in identifiable form. The alert pathway is described in more detail in the Privacy Policy.
7. Your Content
"Your Content" means content you submit through the Platform, including assessment responses, field task completions (your written reports on field tasks completed in your real-life context), and support communications. As between you and TraxxSkills, you retain ownership of Your Content.
You grant TraxxSkills a non-exclusive, royalty-free license to host, store, reproduce, process, and analyze Your Content solely as needed to operate, secure, and improve the Platform, to conduct research authorized by your consent form, and to produce de-identified and aggregated data as described in the consent form and Privacy Policy. TraxxSkills does not publish Your Content and does not share it with any third party in identifiable form.
You represent that Your Content does not infringe the rights of any third party. With respect to field task completions in particular, you agree not to submit content that identifies or describes other individuals in a manner that would violate their privacy or other legal rights, and you are solely responsible for any consequences of disclosing information about other people through Your Content. We may remove content that violates these Terms.
8. TraxxSkills Intellectual Property
The Platform and all of its components, including the curriculum, lesson content, scenarios, narratives, the Behavioral Persistence Index and its underlying signal architecture, scoring methodologies, software, designs, trademarks, and logos, are owned by TraxxSkills and are protected by intellectual property laws. Except for the limited license in Section 5.1, no rights are granted to you. "TraxxSkills," "Behavioral Persistence Index," "BPI," and other TraxxSkills product and feature names may not be used without our prior written permission.
Your individual BPI score and full underlying behavioral signal data are not shared with you or with your institution in identifiable form. Institutions receive de-identified aggregate cohort trends and the individual alerts described in Section 6. TraxxSkills is not obligated to provide you with any individual score, measure, or output, and anything the Platform does display to you is provided for your personal development only and is not a credential, certification, or endorsement that you may present as such without our prior written consent.
9. Feedback
If you provide suggestions, ideas, or feedback about the Platform, you grant TraxxSkills a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation or compensation to you. This does not apply to research data, which remains governed by your consent form.
10. In-Person Program Events and Field Tasks
10.1 In-person program events
Some programs include in-person events, such as orientation gatherings, workshops, and showcase events. Attendance requirements, if any, are described in your program materials. By attending, you agree to follow event rules, venue policies, and your institution's code of conduct. You acknowledge that in-person events carry ordinary risks of physical activity and group settings, and to the maximum extent permitted by law you assume those ordinary risks. We may decline entry or remove any participant whose conduct is unsafe or disruptive.
10.2 Field tasks
The Platform encourages you to apply skills you have practiced by completing field tasks in your real life — for example, initiating a conversation, asking for help, attending a meeting, or trying a behavioral approach in a real-world setting. Field tasks are suggestions offered to support your behavioral skill development. They are not requirements, and any field task you choose to attempt is undertaken at your own initiative and your own risk.
You are solely responsible for evaluating the appropriateness and safety of any field task before attempting it, for using your own judgment about whether and how to engage, and for any consequences that result. TraxxSkills does not endorse any specific course of action, does not supervise field task attempts, and is not responsible for the outcomes of your real-world interactions with other people, your decisions, or any harm to you or others that arises from a field task. If a field task seems unsafe, inappropriate for your situation, or beyond your comfort level, do not attempt it.
11. Not Professional Advice
The Platform provides educational content and behavioral skill development. It does not provide medical, mental health, psychological, legal, financial, or academic advising services, and nothing in the Platform, including any score or measure it produces, is a diagnosis, treatment, clinical assessment, or substitute for professional care or for your institution's advising and support services. If you are experiencing a mental health crisis or emergency, contact emergency services, your campus counseling or safety resources, or the 988 Suicide and Crisis Lifeline (call or text 988 in the United States).
12. No Guarantee of Outcomes
The Platform is designed to support behavioral skill development, but individual results vary and depend on many factors outside our control, including your engagement, your circumstances, and decisions made by you and by others. Any statement TraxxSkills makes about the Platform's purpose, design, intent, or benefits — whether in marketing materials, on app store listings, on our website, in presentations, or anywhere else — describes how the Platform is intended to function and is not a promise, guarantee, or warranty of any particular outcome. TraxxSkills does not promise or guarantee any particular outcome, including improved grades, course completion, retention, graduation, employment, increased earnings, mental health benefit, or any specific change in any behavioral measure or score. Your use of the Platform does not affect your academic standing except as your institution may separately and independently determine.
13. Third-Party Services
The Platform may interoperate with third-party services, such as the app store through which you download the application. Your use of those services is governed by their own terms, and TraxxSkills is not responsible for them. If you download the app through the Apple App Store or Google Play, the applicable store's additional terms apply, and the store is a third-party beneficiary of these Terms solely to the extent required by its policies.
14. Pilot Programs and Service Changes
Portions of the Platform may be offered as pilot, beta, or early access programs. Pilot features are provided as-is, may contain errors, may change or be discontinued at any time, and may be subject to additional terms in your program materials. We may modify, suspend, or discontinue any part of the Platform at any time. Where a change materially reduces the core functionality of a program in which you are an active participant, we will use reasonable efforts to notify you and your institution in advance. Scheduled maintenance and outages may occur, and we do not guarantee uninterrupted availability.
15. Termination
15.1 By you
You may stop using the Platform at any time and may delete your account through the app or by emailing support@traxxskills.com. Account deletion and research withdrawal are described in the Privacy Policy and your consent form. Deletion is irreversible.
15.2 By us
We may suspend or terminate your access at any time, with or without notice, including (a) for violation of these Terms, (b) if required by law or the IRB, if your eligibility ends, or (d) upon the end of the program. We are not obligated to state a reason or to provide an opportunity to cure, although we may choose to do so. Suspension or termination of Platform access does not affect your rights as a research participant under your consent form, including your withdrawal options and the handling of your data.
15.3 Effect of termination
Upon termination, your license ends and your account is closed. Your account and operational data is deleted or permanently de-identified within seven (7) business days of account closure, consistent with the Privacy Policy, except where (a) research records retention requirements under your consent form or applicable research regulations apply, or (b) data has already been de-identified and aggregated into research or product datasets, in which case it cannot be retrieved or deleted on an individual basis. Data handling after termination otherwise follows the Privacy Policy. Sections that by their nature should survive (including Sections 7 through 9, 11, 12, 16 through 19, and 21) survive termination.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. TRAXXSKILLS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY SCORE, MEASUREMENT, OR OUTPUT WILL BE ACCURATE OR RELIABLE FOR ANY PARTICULAR PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) TRAXXSKILLS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, ADVISORS, AND VENDORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) THE AGGREGATE LIABILITY OF TRAXXSKILLS FOR ALL CLAIMS RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS (USD $100) OR THE AMOUNTS YOU PAID TRAXXSKILLS FOR THE PLATFORM IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD, AND NOTHING IN THESE TERMS LIMITS YOUR RIGHTS AS A RESEARCH PARTICIPANT UNDER THE CONSENT FORM OR APPLICABLE RESEARCH REGULATIONS.
18. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless TraxxSkills and its officers, directors, employees, and agents from third-party claims, damages, and reasonable costs (including attorneys' fees) arising out of (a) Your Content infringing or misappropriating a third party's rights, (b) your intentional misuse of the Platform in violation of Section 5.2, (c) your conduct at in-person program events that causes injury to any person or damage to property, or (d) your conduct in connection with a field task that causes injury to any person or damage to property. To the extent this Section is unenforceable under the law of your state of residence, it will be limited to the maximum extent permitted by that state's law.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles, except where the consumer protection law of your state of residence applies notwithstanding a choice of law clause. The state and federal courts located in Delaware have exclusive jurisdiction and venue over any dispute arising out of or relating to these Terms or your use of the Platform, and each party waives any objection to that jurisdiction or venue.
Before filing any claim, you agree to first contact us at support@traxxskills.com and allow 30 days to attempt informal resolution. Any claim must be brought within one year after it accrues, to the extent permitted by law.
20. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you through the Platform or by email at least 14 days before the changes take effect, except for changes required by law or addressing security, which may take effect immediately. Your continued use of the Platform after the effective date constitutes acceptance. If you do not agree to updated Terms, your remedy is to stop using the Platform and delete your account.
21. General
Entire agreement. These Terms, the Privacy Policy, your consent form (if applicable), and any program-specific terms are the entire agreement between you and TraxxSkills regarding the Platform, subject to the consent form priority in Section 3.
Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remainder will remain in effect.
No waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets, subject to the Privacy Policy's commitments.
Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
Export and sanctions. You may not use the Platform in violation of U.S. export control or sanctions laws.
Notices. We may provide notices through the Platform or to your account email. Legal notices to TraxxSkills must be sent to TraxxSkills, Inc., Attn: Legal, 26 Pebble Dunes Ct, Las Vegas, NV 89141, with a copy to support@traxxskills.com.
